<p><strong>المستخلص</strong></p>
<p>هدفت هذه الدراسة إلى التعرف على آثار اندماج الشركات على الغير من خلال دراسة تحليلية مقارنة بين التشريعين الإماراتي والسوداني، ومن أجل تحقيق هذا الهدف تم الاعتماد على المنهج المقارن ليوفر إطارا فريدا لفهم كيفية تعامل كل من التشريع الإماراتي والسوداني مع موضوع اندماج الشركات، فمن خلال هذا المنهج، استطعنا تحليل الأوجه المختلفة للتشريعات في كلا البلدين، مما يسمح بفهم أعمق للأطر القانونية المعمول بها وكيفية تأثيرها على عمليات الاندماج، ومن ناحية أخرى، يعزز المنهج التحليلي فهمنا للنصوص القانونية الحالية ويساعد في تحديد الثغرات والتحديات داخل كل نظام قانوني، ومن خلال تحليل دقيق للقوانين والأنظمة المتعلقة باندماج الشركات في كل من الإمارات والسودان، استطعنا تقييم كفاءة وفعالية هذه التشريعات في تنظيم عمليات الاندماج وحماية مصالح الأطراف المتأثرة.</p>
<p>إن الاختلاف البسيط بين النظامين القانونيين يعكس تباينا في النهج القانوني تجاه تنظيم أسهم الشركات والحقوق المرتبطة بها؛ ففي حين يؤكد النظام الإماراتي على المساواة والبساطة في تنظيم الأسهم، يوفر النظام السوداني مرونة أكبر في تصميم فئات الأسهم والامتيازات المحتملة المرتبطة بها. يظهر هذا الاختلاف في التشريعات التنوع في الأساليب التي يتبعها كل بلد في تنظيم الأطر المؤسسية والمالية للشركات، مما يعكس السياقات الاقتصادية والتجارية المختلفة في كل منهما، ويظهر تأكيد القانون السوداني على ضرورة مراعاة القيمة الفعلية للأصول في عمليات الاندماج رغبة المشرع في تعزيز مبادئ العدالة والدقة في التقييمات المالية، مما يعزز من استقرار وفعالية عمليات الاندماج. هذه الاستراتيجية تعمل على حماية حقوق المساهمين وتعزيز الثقة في الأسواق المالية وتشجع على ممارسات تجارية أكثر شفافية وعدالة، ولا يوجد فرق بين حقوق المساهمين الجدد القادمين من الشركة المندمجة وبين حقوق المساهمين القدامى في الشركة الدامجة. يعتبر جميع المساهمين، بغض النظر عن أصل أسهمهم، شركاء متساوين في الشركة الدامجة، مما يعزز مبدأ المساواة والعدالة في التعامل مع المساهمين بعد عملية الاندماج.</p>
<p>وقد توصلت الدراسة إلى العديد من النتائج، من أهمها اتضح أن التناقض بين النظامين القانونيين يعكس تباينا في النهج القانوني تجاه تنظيم أسهم الشركات والحقوق المرتبطة بها؛ ففي حين يؤكد النظام الإماراتي على المساواة والبساطة في تنظيم الأسهم، يوفر النظام السوداني مرونة أكبر في تصميم فئات الأسهم والامتيازات المحتملة المرتبطة بها.</p>
<p>ومن خلال معطيات الدراسة ونتائجها، أوصى الباحث بالعديد من التوصيات، كان أهمها أنه من المهم للشركة الدامجة إدارة هذه التغييرات بطريقة تضمن الشفافية والتواصل الفعال مع الموظفين لتقليل القلق والإحباط الذي قد ينتج عن عدم اليقين الوظيفي. كما ينبغي أن تكون هناك جهود لتوفير التدريب والدعم للموظفين لمساعدتهم على التكيف مع التغييرات والاستفادة من الفرص الجديدة التي قد تظهر. في النهاية، يتطلب الاندماج نهجا حساستا لإدارة الموارد البشرية لضمان انتقال سلس والحفاظ على الروح المعنوية والإنتاجية داخل الشركة المندمجة.</p>

<p><strong>Abstract</strong></p>
<p>This study aimed to identify the effects of corporate mergers on others through a comparative analytical study between UAE and Sudanese legislation. In order to achieve this goal, the comparative approach was relied upon to provide a unique framework for understanding how both UAE and Sudanese legislation deal with the issue of corporate mergers. Through this In the approach, we were able to analyze the different aspects of legislation in both countries, allowing for a deeper understanding of the applicable legal frameworks and how they affect mergers. On the other hand, the analytical approach enhances our understanding of the current legal texts and helps identify gaps and challenges within each legal system, through careful analysis. For the laws and regulations related to corporate mergers in both the UAE and Sudan, we were able to evaluate the efficiency and effectiveness of these legislations in regulating mergers and protecting the interests of affected parties.</p>
<p>The slight difference between the two legal systems reflects a difference in the legal approach to regulating corporate shares and the rights associated with them. While the UAE system emphasizes equality and simplicity in regulating shares, the Sudanese system provides greater flexibility in designing share classes and potential privileges associated with them. This difference in legislation shows the diversity in the methods followed by each country in regulating the institutional and financial frameworks of companies, which reflects the different economic and commercial contexts in each of them, and the Sudanese law’s emphasis on the necessity of taking into account the actual value of assets in mergers shows the legislator’s desire to promote the principles of justice and accuracy in Financial evaluations, which enhance the stability and effectiveness of mergers. This strategy works to protect shareholders’ rights, enhance confidence in the financial markets, and encourage more transparent and fair business practices. There is no difference between the rights of new shareholders coming from the merged company and the rights of old shareholders in the merging company. All shareholders, regardless of the origin of their shares, are considered equal partners in the merging company, which reinforces the principle of equality and fairness in dealing with shareholders after the merger.</p>
<p>The study reached many results, the most important of which is that the contradiction between the two legal systems reflects a difference in the legal approach towards regulating company shares and the rights associated with them. While the UAE system emphasizes equality and simplicity in r ing shares, the system provides greater flexibility in designing share classes and potential privileges associated with them.</p>
<p>Through the study data and results, the researcher recommended several recommendations, the most important of which was that it is important for the merging company to manage these changes in a way that ensures transparency and effective communication with employees to reduce anxiety and frustration that may result from job uncertainty. There should also be efforts to provide training and support to employees to help them adapt to changes and take advantage of new opportunities that may arise. Ultimately, a merger requires a sensitive approach to human resources management to ensure a smooth transition and maintain morale and productivity within the combined company.</p>
